E-Voucher Adult Standard Anytime (OPI11)

CONDITIONS OF USE:
  1. Voucher code may be exchanged for one ticket with a standard seat to view a standard 2D film showing at ODEON cinemas in the UK and Republic of Ireland as set out in these terms. The voucher code cannot be used at: any ODEON Luxe site or Islington Luxe and Dine. Upgrades are payable for other film formats and seat types.
  2. Online Redemption: You can use your ODEON voucher code to book your ODEON ticket online at odeon.co.uk or odeoncinemas.ie, and on the myODEON app. If you book online or on the myODEON app, there will be an online booking fee of £1 per ticket in the UK and €1 per ticket in the ROI.
  3. In Cinema Redemption: You can redeem your ODEON voucher code at the ticket kiosk but not at the box office or retail counter.
  4. Not valid for Premier seats, VIP seats, any other premium priced seating, 3D, IMAX, ISENSE or Dolby unless you pay an upgrade fee. Upgrade fees vary per cinema. At ODEON Bournemouth and ODEON Hatfield if there is mixed standard and recliner/super luxury seating in a screen an upgrade fee will be payable for the recliners/super luxury seats. At ODEON Taunton there will be an upgrade fee if you sit in a Luxe recliner screen.

The voucher code cannot be used at any ODEON Luxe site or Islington Luxe and Dine. Upgrades are payable for other film formats and seat types.
  2. Voucher code may only be redeemed for a screening on Monday to Thursday.
  3. Online Redemption: You can use your ODEON voucher code to book your ODEON ticket online at odeon.co.uk or odeoncinemas.ie, and on the myODEON app. If you book online or on the myODEON app, there will be an online booking fee of £1 per ticket in the UK and €1 per ticket in the ROI.
  4. In Cinema Redemption: You can redeem your ODEON voucher code at the ticket kiosk but not at the box office or retail counter.

ODEON myLIMITLESS Membership Terms

myLIMITLESS Plus (OPI05)

MYLIMITLESS GIFT MEMBERSHIP VOUCHER CODE TERMS OF USE (UK)
  1. These Terms of Use apply to use of an ODEON myLIMITLESS membership voucher code (Code). These Terms contain important information about how Codes can and cannot be used. Please read these Terms carefully before you buy or use a Code.
  2. Codes are issued by ODEON. ODEON operates the myLIMITLESS membership scheme in the UK. See odeon.co.uk/limitless for information about myLIMITLESS.
  3. The purchaser of a Code (Purchaser) is purchasing a paid upfront myLIMITLESS membership, which can be activated by redeeming the Code.
  4. The redeemer of a Code (Redeemer) must be eligible to join myLIMITLESS. The Redeemer must: (a) be 18 or over; (b) resident in the UK; (c) provide a valid email address; and (d) provide a passport-style photograph for their membership card.
  5. The Redeemer must agree to the myLIMITLESS terms & conditions and ODEON privacy policy when redeeming a Code. See odeon.co.uk/privacy-and-legal for the current version of these, or ask a member of staff in cinema.
  6. The Purchaser and the Redeemer can be the same person. Codes cannot be used in connection with an existing membership.
  7. Codes purchased from ODEON are valid for 12 months from when the Purchaser purchased the Code. Codes purchased in other ways may have a different validity period and/or a fixed expiry date. Codes can only be used during their validity period. No refund will be payable to the Purchaser or the Redeemer in relation to an expired Code.
  8. Codes can be redeemed for one myLIMITLESS membership of the type and duration for which the Code is valid. The gift membership will start when the Code is redeemed.
  9. To redeem a Code, visit odeon.co.uk/limitless, select “Redeem a voucher” enter the Code and follow the on-screen instructions. Use the same method to check the membership type/duration for which the Code is valid, and/or check Code validity.
  10. Codes can be used once only, and redemption of a Code cannot be reversed.
  11. Codes cannot be used in conjunction with any offer or discount. Codes cannot be redeemed against any other goods or services. Codes have no cash value, cannot be exchanged for cash, and cannot be topped up with another payment method. Codes are for personal non-commercial use only and cannot be resold for commercial gain.
  12. Please keep Codes secure. ODEON is not responsible if a Code is lost, stolen, destroyed or used without permission. ODEON reserves the right to cancel the Code if it reasonably suspects fraud or misconduct.
  13. ODEON can transfer its rights and obligations under these Terms to another organisation, but will ensure that the transfer does not affect your rights under these Terms.
  14. ODEON can amend these Terms for these reasons: if we have to make a change to comply with a law or regulation that applies to us; if we are making these Terms better or fairer for you; if we are protecting you or ODEON from fraud or other harmful activity by third parties; if the way our systems or cinemas work is changing and this means that we have a good reason to change the Terms to reflect this; if our costs have changed and we need to make a reasonable change to reflect this; or if we need to update our details. Where we are amending these Terms, we will always post a notice of the amendments online at ODEON.co.uk.
  15. ODEON can close the myLIMITLESS membership scheme on not less than 60 days' notice by posting a notice online at ODEON.co.uk. If we close myLIMITLESS in this way, Codes cannot be used even if they are still in their validity period. Any applicable refund will only be paid to the Purchaser in accordance with the terms upon which they purchased the Code.

  2. Codes are issued by ODEON. ODEON operates the myLIMITLESS membership scheme in the Republic of Ireland. See ODEONcinemas.ie/limitless for information about myLIMITLESS, or ask for a leaflet in cinema.
  3. The purchaser of a Code (Purchaser) is purchasing a paid upfront myLIMITLESS gift membership, which can be activated by redeeming the Code.
  4. The redeemer of a Code (Redeemer) must be eligible to join myLIMITLESS. The Redeemer must: (a) be 18 or over; (b) resident in the ROI; (c) provide a valid email address; and (d) provide a passport-style photograph for their membership card.

  9. To redeem a Code, visit ODEONcinemas.ie/limitless, enter the Code at the start of the joining process and follow the on-screen instructions. Use the same method to check the membership type/duration for which the Code is valid, and/or check Code validity.
  10. Codes can be used once only, and redemption of a Code cannot be reversed.

E-Voucher Classic Combo (one medium popcorn, one medium drink) (OPI21)

Conditions of use Voucher code may be exchanged for one Classic Combo in any ODEON Cinema except Islington Luxe & Dine or any future additional Luxe & Dine sites Classic Combo consists of one medium popcorn and one medium dispensed drink. Order & Collect Redemption: You can use your ODEON voucher code to order your Classic Combo online at odeon.co.uk or odeoncinemas.ie, and on cinema kiosks, at participating Order & Collect cinemas. In Cinema Redemption: You can redeem your Classic Combo voucher code at the retail counter. There may be exclusions where in certain cinemas, vouchers can only be redeemed at the retail counter. Bottled drink may replace dispensed drink where dispensed drinks are unavailable.

  2. Classic Combo consists of one medium popcorn and one medium dispensed drink.

  6. For cinemas that do not offer Order & Collection, this voucher can only be redeemed at the retail counter.
  7. Bottled drink may replace dispensed drink where dispensed drinks are unavailable.

General Terms

Online Terms and Conditions of Supply of ODEON Vouchers

1. Definitions

  • Affiliate: any subsidiary or holding company of ODEON, or any subsidiary of a holding company of ODEON.
  • Associate: an employee, customer, agent, and/or sub-contractor of the Customer.
  • Contract: an agreement between ODEON and Customer for the supply of Vouchers.
  • Customer: the customer who has registered an account to purchase Vouchers.
  • Intended Use: the Customer’s intended use of the Vouchers, as stated during the online Order process.
  • E-Voucher: an electronic “admit one” voucher, Food and Beverage voucher, or myLIMITLESS gift membership voucher code.
  • ODEON: means ODEON ROI for Vouchers issued by ODEON ROI and ODEON UK for Vouchers issued by ODEON UK.
  • ODEON IPR: means the intellectual property rights owned by or licensed to ODEON and its Affiliates, including without limitation the ODEON trade mark and trade name.
  • ODEON ROI: United Cinemas International (Ireland) Limited trading as ODEON (No 441782) whose registered office is at 6th Floor, South Bank House, Barrow Street, Dublin 4.
  • ODEON UK: Odeon Cinemas Limited (No. 1854123), with its registered office at 8th Floor, 1 Stephen Street, London, W1T 1AT.
  • OPIA: means Opia Limited (No 6021170) with its registered office at Priory House Pilgrims Court, Sydenham Road, Guildford, Surrey, England, GU1 3RX.
  • Order: means an order for Vouchers.
  • Price: the total amount payable to ODEON for the Vouchers as stated during the online order process.
  • Quote: a quote for Vouchers.
  • Validity Date: the validity date after which a Voucher cannot be redeemed, as set out in the Voucher.
  • Voucher(s): the e-Vouchers to be supplied to the Customer.
  • Voucher Terms: the terms and conditions of issue of Vouchers, as printed on the back of the Voucher or included in the email containing the e-Voucher

2. Contract Formation

  • 2.1. The Customer must place Orders using ODEON’s online order process at www.odeonvouchers.com. A Quote by ODEON is an invitation to treat and does not constitute an offer by ODEON. All Quotes are valid for 7 days. To place an Order on the basis of a Quote, the Customer must click on “Mark as Order” and then follow the online order process.
  • 2.2. When the Customer places an Order to purchase Vouchers, ODEON will send the Customer an e-mail confirming receipt of the Order (the "Order Confirmation E-mail"). The Order Confirmation E-mail is the acknowledgement that ODEON has received the Customer’s Order, and does not confirm acceptance of the Customer’s offer to buy the Vouchers. ODEON may contact the Customer after submission of the Order to confirm the intended use of the Vouchers. ODEON shall only accept the Customer’s offer, and conclude the contract of sale for Vouchers, when ODEON sends the Customer an email which confirm that the Order has been accepted.
  • 2.3. All Orders are accepted subject to these terms and conditions, to the exclusion of any other terms and conditions which Customer may purport to apply.
  • 2.4. Variations to the Contract will only be effective if agreed in writing by ODEON.
  • 2.5. If the Customer is an agency placing the order on behalf of its client, the Customer warrants that it has the authority of the client to enter into the Contract, and the Customer shall procure that the client complies with the Voucher Terms and these Online Terms and Conditions of Supply of ODEON Vouchers. Although the Contract is between ODEON and the Customer, the sales process, invoicing and fulfilment will be carried out by OPIA acting as ODEON's sales agent.

3. Payment / VAT

  • 3.1. Unless other payment terms are agreed in writing, ODEON (or OPIA acting on ODEON’s behalf) will invoice the Price on acceptance of order.
  • 3.2. If ODEON has granted other payment terms, payment of the Price must be made within those terms. ODEON reserves the right to carry out a credit and financial background search on Customer, will keep a record of such search, and will share the results with its Affiliates. Such other payment terms may be withdrawn by ODEON at any time if it has reasonable grounds of concern regarding customer’s credit status and/or financial stability.
  • 3.3. Time shall be strictly of the essence for payment of the Price or any part whatsoever of it.
  • 3.4. Payment must be made in Pounds Sterling or Euros (as applicable), and must be made in full without set off or deduction.
  • 3.5. Interest shall be payable on overdue amounts at the rate of 4% over the base rate of National Westminster Bank plc from time to time, from the due date until receipt by ODEON of the full amount (whether before or after judgment).
  • 3.6. Unless otherwise specified, all amounts are stated exclusive of VAT, which shall be added at the prevailing rate.
  • 3.7. In the event of non-payment, ODEON may refuse or suspend redemptions, and may invalidate all the unused Voucher barcodes.

4. Voucher Terms and Validity Dates

  • 4.1. Vouchers are supplied strictly subject to the relevant Voucher Terms and Validity Dates.
  • 4.2. Where ODEON has agreed in writing that the Customer may distribute e-Vouchers using its own voucher portal, the Customer must ensure that:
  • – 4.2.1 it makes available the material features of the Vouchers and the full Voucher Terms to the end users of the Vouchers before the end user makes any purchase of Vouchers; and
  • – 4.2.2 all Vouchers are distributed with the Validity Date and the Voucher Terms.
  • 4.3. ODEON and its Affiliates will not accept redemptions of Vouchers which are not in accordance with the Voucher Terms, which are outside the Validity Dates, or which do not bear a Validity Date.

5. Supply of the e-Vouchers

  • 5.1. In consideration of payment of the Price, ODEON will supply the e-Vouchers. Within one business day of receipt of cleared funds, the Customer will be able to log into “My Account” to be able to distribute the e-Vouchers. If special payment terms are agreed in writing with ODEON, the Customer will be able to log into “My Account” to be able to distribute the e-Vouchers upon acceptance of the Order.
  • 5.2. If the Customer has its own voucher portal then, if agreed in writing by ODEON, ODEON will supply the e-Voucher codes in a csv format for the Customer to distribute using its own portal.
  • 5.3. If the Vouchers are materially defective, the Customer must inform OPIA (acting as ODEON’s agent). OPIA will then cancel the Voucher barcodes and supply replacement Vouchers at its own cost.
  • 5.4. Risk and title in the e-Vouchers shall pass to the Customer on delivery.

6. Voucher Usage / Usage of ODEON IPR

  • 6.1. Customer shall not (and shall ensure that its Associates shall not) use the Vouchers for any purpose other than the Intended Use.
  • 6.2. Subject to the remaining provisions of this clause 7, Vouchers can be used for reward (where the end user receives the Voucher without making any payment) or for resale (where the end user pays for the Voucher).
  • 6.3. Customer shall not (and shall ensure that its Associates shall not) resell the Vouchers for a higher price than is paid by the Customer to ODEON for the Vouchers without ODEON’s prior written consent.
  • 6.4. Vouchers may not, without ODEON’s written consent, be:
  • – 6.4.1. used in any insured sales promotions (including fixed fee and on-pack promotions); or
  • – 6.4.2. used in any ODEON branded promotions.
  • 6.5. ODEON grants the Customer a non-exclusive, non transferable, revocable licence to use ODEON’s name and logo in the UK and ROI strictly for the purposes of describing the Voucher to the end user in any resale or reward scheme provided that:
  • – 6.5.1. the Customer may not use ODEON’s name or logo in any headline or strapline without ODEON’s prior written consent; and
  • – 6.5.2. the use of ODEON’s name and logo must not, without ODEON’s prior written consent, lead consumers or end users to believe that ODEON is a participant in any voucher promotion.
  • 6.6. Subject to clause 7.5, any materials featuring the ODEON logo and/or describing the Vouchers must be approved by ODEON in writing in advance, and must comply with ODEON’s brand guidelines.
  • 6.7. The Customer must comply with all applicable laws and regulations relating to any sale or promotion including the CAP Code.
  • 6.8. Subject to clause 7.5 above, Customer shall not (and shall ensure that its Associates shall not) use any ODEON IPR without the prior approval of ODEON.
  • 6.9. If the Customer is in breach of this clause 7:
  • – 6.9.1. ODEON shall be entitled to refuse or suspend redemptions, and may invalidate all the unused Voucher barcodes, and in which case the Customer shall not be entitled to a refund;
  • – 6.9.2. where the Customer has paid the incorrect rate for the Vouchers due to the wrong type of use, ODEON reserves the right to charge the correct rate (calculated on its standard rate card) for the actual type of use; and
  • – 6.9.3. Customer shall hold harmless, indemnify and keep indemnified ODEON against any liability, loss, damage, claims or expense sustained by ODEON, its employees, agents, customers or any third party if such liability, loss, damage, claim or expense was caused by such breach.

7. Limitations on Odeon’s Liability (Please note)

  • 7.1. Nothing in these terms and conditions shall exclude or limit ODEON’s liability for: (i) fraudulent misrepresentation, (ii) death or personal injury caused by ODEON’s negligence, or (iii) breach of the obligations arising under s12 of the Sale of Goods Act 1979.
  • 7.2. All warranties, conditions and other terms implied by statute, common law, or otherwise are excluded from the Contract to the fullest extent permitted by law.
  • 7.3. ODEON’s total liability to Customer in contract, tort (including negligence or breach of statutory duty) or otherwise, arising howsoever in connection with the Contract shall be limited to the Price.
  • 7.4. ODEON shall not be liable to Customer in contract, tort (including negligence or breach of statutory duty) or otherwise howsoever and whatever the cause thereof, for (i) any economic loss of any kind whatsoever, including (without limit to the foregoing) loss of profit, business contracts, revenues or anticipated savings, (ii) damage to Customer’s reputation or goodwill, (iii) for any loss resulting from any claim made by any third party, or (iv) for any special, indirect or consequential loss or damage of any nature whatsoever.
  • 7.5. ODEON shall not be liable to Customer in any manner or be deemed to be in breach of the Contract because of any failure or delay in performing any of ODEON’s obligations under the Contract due to any cause beyond ODEON’s reasonable control.

8. General

  • 8.1. Customer may not assign or transfer the Contract without ODEON’s prior written consent. ODEON may assign the Contract or any part of it to any person, firm or company.
  • 8.2. Each Affiliate shall be a third party beneficiary of the Contract with the independent right to exercise each right of ODEON and to enforce each obligation of Customer under this Contract. The Contract is not intended to benefit, or be enforceable by, any other third party.
  • 8.3. ODEON’s failure to exercise or delay in exercising any right or remedy shall not constitute a waiver of that or any other right or remedy.
  • 8.4. Notices shall be given in writing in person or by post to the registered office of the recipient. Posted notices shall be effective 2 days after posting.
  • 8.5. The Contract is governed by English law and the parties submit to the jurisdiction of the English courts.
  • 8.6. If any provision of the Contract is invalid, illegal or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal and enforceable. If such modification is not possible, the provision shall be deemed deleted. Any modification or deletion of a provision shall not affect the validity of the rest of the Contract.
  • 8.7. The Contract constitutes the entire agreement between the parties.
